InGovern raised concerns over governance lapses and regulatory breaches regarding a grant of ESOPs worth over ₹400 crore to Dr. Rashmi Saluja, Chairperson of Religare Enterprises and Non-Executive Director at Care Health Insurance.
The Board of Care Health Insurance should disclose all communication with IRDAI regarding the ESOP grant and the rationale for proceeding despite regulatory rejection, as per the InGovern report.
Religare Enterprises stated that IRDAI found the issuance of ESOPs to Dr. Saluja illegal, leading to an appeal that was withdrawn after her removal from the Board.
The report also questioned potential conflicts of interest involving CHIL's key legal advisors and advised shareholders to seek further details on the matter.
